if she's insisting that what's going on between her and your friend isn't serious then why is she still with him? and let's suppose she really likes you... then doesn't she need to break it off with him anyway? and if she's debating weather to break that off then does she want to screw around with both of you at the same time? many people love this kind of attention. not sure what your agreement other than lust is with this girl, ultimately YOU need to make a decision here. for one is she really worth it? if so friquen go for it.
i have a friend who fell in love with his best friends girlfriend... yeah. well he ended up marrying the girl and has 2 beautiful kids. the best friend?? well that's over, but people do move on... so THINK before anything. good luck.

Go for it.
i was in a similar situation. My old roommate and his friend had a thing for this girl... They both tried to date her... the roommate was a dumbass who couldn't figure out I was interested in the girl and was always asking me for advice on how to get her and the friend was a cheater and this girl found quite fast that this dude wasn't worth it... Of course I was interested in the girl. So after a couple of months of dating between the girl and the roommate's friend... I got her. We went out and things were great. To this date I don't regret going for it. The roommate understood the girl wanted to go out with me and he gave up on her after tying very hard and the other dude was not a close friend.
