When someone has a website like this. How do you help the potential client understand that a lot might need to be changed, without insulting them:

sell him the rebrand with an analogy, like:
there´s certain standards in visual communication, as there are standards of how people are expected to dress (for business). in that analogy, you´re now dressed <insert outdated, odd/cheap/unprofessional look here>. this seriously is bad for the impression you customers get of your business. you need to dress up.
... something liek that? and show him what the competition does.

I think the fact that you are having a dialogue about the website probably means the client knows there is a problem.
In my experience, a lot of business people really want to do exactly what their (bigger) competition is doing, only better. So, you can point to some examples of other websites in this industry and say that you want to do something like this, and something like that...

it also may mean a well planned and designed website is out of their [ideal] of a budget. it will take some well-crafted explanation of WHY they need to go in the visual direction that you are planning and how it will increase their position.
