Tell him exactly how you feel. You're right because that's a terrible design. It may look late 90s but the execution is poor whatever decade you're in.
And easy on the ageism that's creeping in to a couple of posts. If the guy is almost 40 then he should know better. That logo suggests he was also a bit crap when he was 25.

It's not your job to tell him his logo sucks if you're just a coworker and one of you is freelance. That's the client's job. Just be happy that your logo is better and sit back and enjoy the show. Fuck it, egg him on, have him make it worse even.

If he is your friend then it's probably not worth hurting his feelings over a logo that he may actually be quite proud of. It does nothing for your friendship to belittle his work regardless of how bad it may be.
I think designers and art directors often get too caught up in their own opinions and for what? It just makes you come off as an arrogant asshole. Unless you are actually working on whatever it is and have a responsibility, your opinion doesn't count for shit. So why worry about it! Energy spent worrying about how bad someone else's work is is better spent on improving your own.

Even if he's not your friend... no need to be an asshole. It's just a silly logo. tOki's comment on getting caught up in one's own opinion is pretty accurate... if anything - be happy for the guy that something of his finally got accepted (regardless of how bad). You should be at peace in your head... rest comfortably knowing that 99% of the time your work is used. :) Why trash on the other guy's 1%?
