I am forming a business partnership with a marketing firm and we would be subcontracting our clients. what forms would be appropriate for this? Nda?

If you're asking that here you're not ready for a partnership.

This is an important arrangement and if you are serious, get a lawyer involved to draft up the paperwork.

NDA just means no disclosure.
you need a contract. Check out legalzoom.com or prepaid legal. They should be able to draft one up.

should I provide the contract or the other party? or both?
- ETM0
I would expect there would be some negotiating of the contract terms to ensure each party is happy with the terms, conditions and protections required of, and afford to them.

subcontracting our clients isn't really a business partnership is it?
it's just subcontracting and this would just be included in a standard contract on a per project basis?

I looked into forming a partnership with someone, and it's kind of big deal. Lots more complicated than sole proprietor or single person llc.
In the end we decided not to form a formal partnership, and I just sub the work to her.
- < yeah, BIG deal... way more complicated, but also potentially worth it, of course, depending on your situationshowpony

Don't fool around with "partnerships" without a lawyer. The implications are pretty severe if you aren't careful - things like liabilities, capital calls, etc. You'll also need a good operating agreement.
It means a lot more than 'hey, my buddy and I are working together, we are a "partnership"'

Wait a second. http://www.qbn.com/topics/645401…
Also, have you contacted that chiropractor about his site yet? Did you decide to write a proposal or just waste time on a comp? How did that work out? Oh, and did you figure out how much to charge for converting that psd to html/css? The suspense is killing me.

having no legal council involved... that is not a good idea. seriously, attorneys that specialize in this sort of thing are not that expensive.

I completely agree! In fact, it should be a must!

no legal supervision? sounds like a messy divorce if things go sour.
