could either import it to after effects, then extract the audio. You could import it into flash, then export it as a quicktime movie, then strip the audio from there. Or you could record the uadio in realtime using Audition?
loads of ways really...the choice is yours :)

well, some of those choices will have differing results. you're best option is something that is just going to extract it from the flv container and leave the compression intact. some of these methods will unencode and then recompress it, which will sound like ass.

i would try ffmpegx and see if you can't just pull the audio out. should be able to do it without any re-encoding as it's already mp3 compressed.
