client doesnt want to pay. for rush web service and purchase of my original files, because they think paying for the site last year paid for the original files...which it did not.
and she's saying that my rates are too high compared to other 'developers' in the middle of michigan. hey lady, in out here in mahattan! im a designer not a developer! my rates are what they are. plus it was rush work.
changed all her site's passwords until she pays. she's threatening to take me to court.

bitch. I had a BIG problematic client like this awhile back. She waited till the whole webite was finished and online, and then told me she thought I was charging too much (I was already WAY undercharging!!!)
...So I did what you did, changed the passwords, and demanded cash (but the site was still live)... A month went by and she was saying she'd take me to court, but I knew she didn't have a leg to stand on. And I had a contract saying the design was my copyright until she paid-up...
... So after a month of her being a bitch, I took the site down, and put up a simple line of text saying... "WEBSITE DOWN DUE TO LACK OF PAYMENT FROM CLIENT".
Needless to say she paid up about an hour later!

As long as you got a contract and an email trail of the conversations you should be in the right. If you give an estimate and they go with you then they agree to the terms. WTF is wrong with clients thinking they can change the terms when you're done.
Rates are cheaper and you pay a premium for quality and quickness.

no contract as it was rush work last year, but she wanted original files this past fall, so i told her the price and how to set everything up.
she's a damn farmer so i cut her some slack on that end.
needless to say, now she's saying she never asked for it, and i never released passwords to her, which i did.
i have a great trail of emails. GREAT!

Doing that could possibly add some credibility to any court claims they may actually make.
It would be liable/slander. Take the higher road and just take the site down without the "non-payment" message.

But I agree with ETM, maybe refine it. Try putting "website down, for more information click here"... and have an email link to you. That way you can tell anyone who's interested exactly what's happened in private... and she can't pull you up on slander or anything...
