hey, i have to write a proposal for a design studio for a freelance project.
i've always worked directly with clients... is the agreement i make with the studio the same?
do i ask for a deposit and follow the same process as with clients?
any angles i should specifically cover in the agreement?

Payment is due upon completion of work. The define what completion means.

With freelance I would never ask for a deposit. Work out when you want to get paid and make agreement to get paid upon completion, bi-monthly or whatever depending on length of stay and contract.

no deposit/payment on completion... so i quote my hourly rates, and i'm then entitled to that if the project is cancelled early?

if you are being paid hourly. it might be nice to invoice monthly.
i have seen contracts which had monthly payment terms.
i also like to place in there that (this usually only works with a set price) the work is my property until full payment has been receved. that way if they do not pay and i go delete it or something they can not sue me.

I would request payment bi-monthly if your working hourly.
I would do upon completion only if a set price for the project was made.

ok. one last thing... if it's a set price, what am i entitled to if the project is cancelled early?

kill clause = hours worked x hourly rate
get a deposit from clients, but not so much from agencies/studios

bill them bi-weekly or at different phases of the project. Its no difference if they are a client or a design house. I've seen them both just decide not to pay. They get a deposit from the client, so you should get payed for time worked.
Advice: Don't mess up and hit all deadlines!! My experience is freelance people tend to be more lax (guilty mySelf in the past), and then wonder why they don't get more work...
