You need to make a clipping path in the EPS file.
--Open the eps in photoshop. Using the selection tool select all the area that you want to be transparent. Now go to selection and invert selection. Then got to the path palette. In the palette menu select make work path. Now make that the clipping path. If this is confusing I would suggest looking up clipping paths on the internet.
