yo!
png files allow for alpha channels, so you can have an image that actually fades to clear instead of the way a gif file fades to white.
png files are a bit larger than gifs generally, but not so bad if you know how and where to use them.
pngs are not good for photographs or for heavily gradated gfx in the same way that gifs arent good.
pngs can also progressivly load, so you see them get clearer as they load (i dont care for that feature much though)
