Maybe you should talk to your friend about the girl too.
Two years ago one of my good friends liked this guy, who liked my best friend. So we were out in Quebec in the mountains for the March (Spring) Break, and he asked my best friend out. It was a good time to ask, since my other friend, who liked him, wasn't able to come along on the trip.
Anyway, their friendship came to a bad turn for a few months, but eventually the friend who initially liked the guy got over it. She never really made any moves either, so she couldn't expect the guy to know that she liked him. And the guy obviously liked my best friend more than my other friend, who (bear with me here), he just thought of as a friend, not a love interest.
My best friend and the guy are still together right now, and are strong. I'm convinced they'll get married in a few years.
My point is, you never know what's going to happen, so you have to decide about if you're going to risk your friendship by going out with her, or risk your love life by not. I totally respect your decision, but you should probably still talk to him about the situation.
