CS3 Upgrade Question

Just trying to clarify something since the documentation on the Adobe site is rather awful.
To upgrade from (I have CS1) to CS3, on a brand new comp. (CS1 installed on old computer): All that's required for the new install is the CS1 serial number, correct? The upgrade doesn't have to be on the same computer, right?
Does that do anything to the old version? Can it stay installed on the old computer?

All you need is the serial and you'll be downloading the full version. Won't affect your installed CS1.

What if someone ever tries to come along and upgrade the old CS1?
I have it on a work computer as well and wonder if I could still leave it for someone else to use.

nope - 1 box = 1 license for 2 machines. But you can only run 1 machine at a time with common serials
