anyone who has had experience signing contracts from your clients as a vendor ... have you ever run into some notably bad/heinous/overdemanding/sneaky clauses? examples of things in a a contract that you have refused to sign on in the past?

get yourself a lawyer, they can read thru that jargan and help you dismiss the 'evil' out of the contracts.
or write your own contract or add your own amendments to the contract from your client.

I second e-pill. Without a lawyer and threat of going to court...a contract is just a piece of paper someone signed.

and with a lawyer you will know everything IS in fact legal and law-binding.

i agree...pay a token amount to a lawyer.
i had to sign some b.s. employee handbook here last week and it looked to me like it was written by an 8 year-old...non-compete clauses, rules, intellectual property stipulations. i took it home so my better half could have a chuckle (he's an attorney) and he said sign it - i could literally copy everything in this company and what i signed would almost protect ME and not them. it's totally worthless, but that's what they get for not spending a whole $1k or whatever it is to protect their company. idiots.

Sure, plenty of times I have seen contracts with parts/agreements I was not willing to make. Sit down with your client if its a small job and work out the terms – if its a larger job, I agree, get a lawyer to have a look at it.
This is for vendors of course.
For your clients, write yourself up a proper contract and use it always.

also, remember you're absolutely within your rights to cross out and initial anything you disagree with on any contract. some ppl feel uncomfortable with that but don't hesitate!
