use a vector layer mask.
paste a round rectangle box from illustrator, and when it asks you - say paste as paths. yo may need to turn this on in illustrator. File>Preferences>File Handliong & Clipboard, make it so it preserves paths in cut and paste.
then save the pasted path as a path and make it a vector mask on the selected layer by going to vector mask> use current path.

You could draw a eounded rectangle in PS itself (shape tool).
