we got the deal! awesome. but now their lawyer is having issues with our work agreement, so they won't sign. now they flipped the agreement upside down giving them rights to EVERYTHING. totally bogus. anyway, i am wondering if any of you have a stock contract laying around that you use for your clients?
our issue centers around "intellectual property"
can you post or email any contract templates?
(and yes, we do have our lawyer looking into the matter - but he's expensive, so we like to limit his involvment if possible)

'intellectual property' is a big deal for some companies. I've signed many forms for many employers stating that they own all of the work that I've produced for them. It's more or less the same thing in your case I would think.

that's exactly it jazx. they want to own everything... but we want to maintain the ability to market the solution to others... at the same time we want to make their ability to use the solution as broad as possible. we don't have any interest in inhibiting them at all - but we don't want to be inhibited either.

ohh f*ck them you can tweek your software to do whatever you want and change the name, blah, blah then it's yours again. :)
