has anyone here been through the process of incorporating in the USA. what are the benefits?
any links to decent info relating to this... for small graphic design firms.
what kinds of things should i consider? why is it a good thing? why is it a bad thing? where do i go to do it?
i hit google, but i get a bunch of "incorporate for $49.95 today" sorts of links.
i just need some solid advice please....

i am am fairly certain this is correct but you should do some research:
i believe delaware is the cheapest state to be incorporated in...meaning you have an "office" (a PO Box) there and that is where you pay your taxes and such
i dont know a whole lot about the process but it may be something to look into

I incorporated last year and then dissolved it this year.
If you are a small shop and don't have a lot of assets then you don't really have any liability.
I would recommend just doing a sole proprieter, partnership or something simple.
When you are a Corporation, you have to pay (in California) about $900/year to the state just to be a corporation, you have to keep a log of corporate Minutes, it costs you more to do your taxes, and it can be a pain in the ass to get a bank account set up.
I would keep things simple if I were you.
