if the boss wants to deal with HIS client directly, then that's his choice. most studios i have worked at always have a buffer between designers and clients, and that's just the way i like it.
if you want to report them, just remember you're burning a bridge and word could get out that you are a hostile employee, therefore ruining future employment possibilities.
i don't think that what they're doing can even be compared to the enron deal, but i don't think i have all the facts.
