Wish I went to bed earlier, but after tons of digging I found a solution. Just in case someone runs into the same issue... this is the fix...
If you have modified the Host-file do the following steps, else jump to #6
#1 In Terminal type: sudo /Applications/TextEdit.app/Conte... /etc/hosts
#2 Hit return, enter your admin password when prompted and hit return.
#3 Your Hosts file should automatically open in TextEdit.
#4 _REMOVE_ the following from the open Hosts file:127.0.0.1 activate.adobe.com
127.0.0.1 practivate.adobe.com
127.0.0.1 ereg.adobe.com
127.0.0.1 activate.wip3.adobe.com
127.0.0.1 wip3.adobe.com
127.0.0.1 3dns-3.adobe.com
127.0.0.1 3dns-2.adobe.com
127.0.0.1 adobe-dns.adobe.com
127.0.0.1 adobe-dns-2.adobe.com
127.0.0.1 adobe-dns-3.adobe.com
127.0.0.1 ereg.wip3.adobe.com
127.0.0.1 activate-sea.adobe.com
127.0.0.1 wwis-dubc1-vip60.adobe.com
127.0.0.1 activate-sjc0.adobe.com#5 Save the file and quit TextEdit and Terminal.
###START HERE### (if you have not been messing with the Host-file)
#6 In Terminal type following: sudo dscacheutil -flushcache
#7 Hit return, enter your admin password when prompted and hit return.
#8 In Terminal type following: sudo rm /Library/Application\ Support/Adobe/Adobe\ PCD/cache/*
#9 Close Terminal.
#10 Go to: http://www.adobe.com/support/con…
#11 Download the licensing repair tool (at the bottom of the page).
#12 Run it, and follow on screen instructions, quit when done.#13 Instal "Little Snitch" from www.obdev.at
#14 Restart your Mac
#15 Little Snitch will ask for permissions, allow most but when you notice an adobe application ALWAYS DENY!
#15 Run a CS4 application, you will now see the activation window, follow on screen instructions.
#16 When it ask for serial use one of following:your serial
****-****-****-****-****-****#17 Complete the activation stuff, and deny all connections from Adobe applications.
Everything should be working now, hope this helps.
