don't know too much about this...
but i'd say the usage rights would be the most important thing to think about when selling it.
work out the "physical" value of the code (how much you would charge to implement the code from scratch for a client), but also think about it's value as a reuasable piece of software...what will the person buying the source from you be able to do with it... reuse it for his clients? sell the source on to someone else? ... and work out how much you want to charge for those rights.
