I've never owned a 350D but I have owned a 10D and recently sold it and purchased a 20D. Just the differences in the 10D to the 20D were amazing so I cannot imagine all of the added features the 20D would have over the 350D. Personally you get what you pay for and I'd recommend the 20D. Just a few things off the top of my head are:
The improved burst rate. Less noise at higher ISO settings. The ability to take pics and have the camera spit out both RAW and JPGs at the same time. Faster start up time.
