The Face Group one isn't bad. The logo, and some of the content needs to be switched or changed, but it's not totally ugly. The Consult site is good.
Looking through the Face site, I'm really starting to wonder how it could be a rip. I doubt it.
I haven't looked at the source code yet, but even the portfolio section is different on both sites. The formatting is similar, but that's because it's very basic. Many sites have the same type of layout going on.
