Don't want to sound that much as tosser (I guess I am anyway) but I don't see much to criticize here.
The other chaps have a very generic website that looks similar to yours... and yours looks like about a thousand other web design firms.
The portfolio looks good, and the site is more tasteful than the other... also I reckon that the domains are different enough to avoid a google confusion.
People who cannot afford big players usually work with their close network. They will know you and probably forget your company name, so no biggie.

Go register for a trademark for your company's name. Then you'll have legal protection to do business under that name.

I wouldn't get dragged down to worrying about this. Focus on your own business, being better than competitors, doing great work, making clients love you and evangelise about you to others.
Putting them out of business over five years will be so much more satisfying than whining at them down a phone about copying your general look and feel badly.

they are getting portion of our business, and sure, we can't complaint about that it's a free and competitive world. However this is annoying when you get a reputation(positive one) amongst the business community and someone else takes advantage of it, and worse, possibly and some point these people might damage your reputation, the point here is that and we know for a fact that some eventual client though they were us! (and they didn't denied it)
